Hotels and Large Construction Projects in the Dominican Republic

How to assess Dominican hotels and large commercial or mixed-use projects: trusts under Law 189-11, title checks, construction and environmental permits, financing and risk controls.

Hotels and large construction: define the investment perimeter

This guide concerns hotel assets, substantial commercial construction and large mixed-use developments. It does not cover residential brokerage or individual homes. For a mixed-use scheme, distinguish the hotel, retail, office, parking and shared-infrastructure components before evaluating financing. The central questions are what the investor owns, what can legally be built, who controls expenditure and how the completed asset will operate. This is general information, not investment, legal or tax advice.

At a glance

Market reference

Year

Figure

Official source

National tourism receipts

2025

US$11,318.5 million

Banco Central, preliminary full-year results

Nonresident air arrivals

2025

8,860,709

Banco Central, foreign and Dominican nonresidents

Foreign nonresident air arrivals

2025

7,341,745

Banco Central, subset of air arrivals

These national indicators provide context for the hotel component only. They do not establish office absorption, retail spending, construction feasibility or a particular site's value. Tourism receipts are not developer sales, property net income or investor distributions. A mixed-use appraisal needs separate evidence for each commercial component and a transparent allocation of shared costs.

Market and feasibility

Begin with the proposed asset's catchment area, access and competitive set. For a hotel, study demand segments, seasonality, distribution and the operating concept. For offices and retail, request independent evidence on achievable rents, tenant requirements, competing supply, occupancy costs and leasing periods. An attractive masterplan does not prove that all uses should open together or that each can support its allocated infrastructure expense.

Commission a feasibility study that reconciles market demand with design, engineering and a costed delivery program. Distinguish completed-asset operating projections from developer cash flow during construction. Separate land acquisition, professional fees, infrastructure, construction, financing, taxes, equipment and operating reserves. Identify whether the budget assumes utilities or access works will be delivered by another party and obtain evidence of that commitment.

Phasing can reduce exposure to uncertain demand, but it creates dependencies. Check whether an early hotel can operate safely while later commercial blocks are built. Allocate temporary access, fire routes, service yards, wastewater capacity and common facilities. The valuation should not assume that future phases automatically resolve today's incomplete infrastructure or funding gap.

Legal framework: trusts and project companies

Law 189-11 provides the Dominican framework for fideicomisos, or trusts. A trust can organize assets and contractual rights around a defined purpose through a fiduciary. The instrument requires careful legal design; the label alone does not establish effective asset segregation, investor priority or protection from construction losses. Confirm how assets are transferred, documented and registered, and obtain advice on the particular fiduciary's authority.

Review the trust agreement's purpose, contributors, beneficiaries, fiduciary powers, permitted borrowing, payment instructions and termination provisions. Establish who approves budgets, certifies progress, handles disputes and appoints replacements. Obtain a clear account of creditor ranking and the treatment of money before it enters the trust. Independent administration does not guarantee that a project has sufficient funding or can be completed.

A special-purpose company or contractual joint venture may also be used, sometimes alongside a trust. Compare governance, transfer costs, tax treatment, security enforceability and reporting obligations. Do not import incentives intended for a different project category. For a qualifying hotel component, review Law 158-01 with Law 195-13 and obtain project-specific CONFOTUR evidence. A tourism approval should not be presumed to cover unrelated offices or retail space.

Land registry and title due diligence

The Jurisdicción Inmobiliaria and its registration system are central to verifying registered real estate rights. The Registro de Títulos certification of legal status reports the property's legal situation and current entries at issuance. It is not a substitute for a survey, site inspection or assessment of every off-register contractual claim. Obtain fresh evidence close to closing rather than accepting an old title copy in a sales presentation.

Independent counsel and a licensed surveyor should reconcile the registered owner, parcel designation, area, boundaries and actual occupation. Investigate mortgages, liens, easements, disputes, access rights and any required subdivision or cadastral regularization. Verify the seller's corporate authority and beneficial ownership. A paved route across neighboring land is not necessarily an enforceable right of access.

For assembled sites, prepare a parcel-by-parcel schedule showing ownership, acquisition status, burdens and conditions. Confirm that the entire approved design fits within land legally controlled by the project. Where buildings or uses will be held separately, determine the appropriate property regime and registration steps. Refer to Registro Inmobiliario service information for current channels and obtain professional confirmation of the applicable procedure.

Permits: construction and environmental review

Develop an approvals matrix covering municipal land use, applicable tourism requirements, environmental authorization, construction licensing and utility interfaces. The MIVED licensing process is coordinated through the Ventanilla Única de la Construcción; confirm current institutional requirements and application status directly. A submitted application is not an issued permit, and a limited preliminary authorization should never be described as unrestricted permission to build.

The Ministry of Environment and Natural Resources administers environmental authorizations within the evaluation framework. Site conditions, project scale and impacts influence the required review. Investigate drainage, flood exposure, water supply, wastewater, waste handling, protected areas and coastal constraints before fixing the concept. Environmental commitments can affect density, construction methods, monitoring expense and the operating budget.

Keep approved drawings and permit conditions under version control. Design changes, phasing adjustments or changes of use may require further review. Obtain a written professional assessment before relying on inherited approvals from an acquired project. Track the inspections, commissioning and applicable completion or operating requirements needed before the asset can open.

Deal structures, financing and controls

Potential structures include landowner-development joint ventures, equity in a project company, trust beneficiary interests and secured construction lending. Their economic labels do not reveal their legal ranking. Map cash contributions, land contributions, debt security, guarantees, distributions and exit rights. Document what happens after cost overruns, contractor default, a partner's failure to fund or an inability to obtain a necessary permit.

Construction contracts should define scope, design responsibility, milestone evidence, variation procedures, defects obligations and insurance. Match payment releases to independently certified progress rather than promotional milestones. Review contractor capacity and related-party transactions. The financing package should explain draw conditions, interest during delays, lender controls, completion support and the source of working capital at opening.

Key risks

Title and access: incomplete parcel assembly, disputed boundaries or inadequate easements can impair the entire scheme, not merely an isolated phase.

Engineering and delivery: unsuitable ground, imported equipment, labor constraints and design gaps can undermine budgets. Obtain independent technical and quantity-surveying review.

Commercial and financial: slower leasing, weaker hotel demand, currency mismatch and refinancing constraints can prevent distributions even after physical completion.

Shared infrastructure: unclear service charges or maintenance obligations create disputes between hotel operators, commercial tenants and owners of separate components.

Governance and exit: weak reporting, fiduciary conflicts, restricted transfers and a limited buyer pool can make an apparently attractive participation illiquid.

Next steps

Prepare a diligence index containing title and survey records, corporate documents, trust instruments, permits, studies, contracts, budgets and financing evidence. Assign each unresolved issue to an accountable professional and distinguish conditions required before signing from those required before disbursement. Reconcile the development scope across the legal, technical and financial files.

Promoters can submit documented projects through for projects; potential capital partners can share their criteria through for investors. Dominicaninvesting.com is a private brokerage, not a public authority or a guarantee provider. Each party should retain independent Dominican legal, tax, technical and commercial advisers before entering a transaction.

Sources

Banco Central, preliminary economy results 2025

Banco Central, tourism flows 2025

Law 189-11, mortgage market and trusts

Registro Inmobiliario, certification of legal status

Registro Inmobiliario, official service information

Ventanilla Única de la Construcción

Ministerio de Medio Ambiente, environmental authorizations

Law 158-01, tourism incentives

Law 195-13, tourism incentive amendments
