1. Operator

Grant Robertson, acting in his individual capacity and trading as Dominican Investing

2. Limited service

Dominican Investing provides project information and contact introductions between project owners and prospective investors or lenders. Our role is limited to administering the platform, presenting information supplied by others and facilitating an agreed introduction. The parties and their independent advisers are responsible for evaluating, negotiating, documenting and completing any transaction.

3. Our role and its limits

Unless separately agreed in writing, we do not:

• recommend an investment or assess its suitability for you;

• negotiate investment or lending terms;

• structure investments or financing;

• value projects, businesses, securities or property;

• perform legal, tax, financial, engineering or technical due diligence;

• verify title, permits, forecasts, solvency or project viability;

• accept orders or commitments to invest;

• execute investment transactions;

• receive, hold, control or transfer investment funds;

• act as escrow agent, trustee, investment manager or payment agent;

• guarantee funding, repayment, returns or either party’s performance;

• monitor the investment or enforce transaction obligations after introduction;

Routine scheduling and consent-based administrative document transmission are permitted; they are not execution or supervision.

4. Introduction and handover

This introduction does not constitute approval of the project, investor or proposed transaction. From this point, the parties are responsible for their own evaluation, negotiations, advisers, contracts, payments and completion arrangements. Dominican Investing has no authority to bind either party and does not administer the investment. Any continuing administrative assistance remains subject to the limited service scope.

Continuing confidentiality, data-protection and fee-administration duties do not end at introduction.

5. Obligations and authority

The Introducer's obligations are limited to the introduction and administrative services expressly described in this Agreement. The Introducer is not a party to any investment, loan, acquisition, joint venture, subscription, security, construction, escrow or other transaction agreement between introduced parties. No introduction, transmission of information or administrative assistance constitutes a recommendation, endorsement, verification, undertaking to arrange funding or guarantee of performance.

Neither the Introducer nor either introduced party has authority under this Agreement to bind another person, make representations on that person's behalf, receive money for that person or enter into transaction commitments in that person's name.

A mandate to introduce is not an appointment to negotiate, advise or conclude a transaction. Additional services need a separate written scope. Informal conduct or automated messages cannot expand the service.

6. Independent decisions

Each party decides independently. Investors assess suitability, affordability, risk and expected returns themselves with advisers. Owners are responsible for disclosures, transaction compliance and use of funds. Each party verifies the other’s identity, authority, ownership, financial position and representations as needed; appoints its own lawyers, accountants, valuers, engineers, escrow providers and other intermediaries. Definitive documents govern ownership, security, repayment, returns, conditions, completion and remedies.

These allocations do not exclude any legal duty that applies independently to the Introducer, including applicable duties concerning its own statements, conduct, data processing or anti-money-laundering obligations.

7. Owner information and warranties

Project-owner information. Not independently verified by Dominican Investing except where a specific verification is expressly identified.

Project-owner forecast based on stated assumptions. Actual results may differ materially. Returns are not guaranteed.

AI-assisted summary of supplied material. It may contain errors or omissions. Consult the source documents and obtain independent advice.

I am authorised to market the project and provide this material.

Material statements are accurate to my knowledge after reasonable enquiry.

I will disclose material omissions and changes.

I have rights to share the uploaded content.

Forecasts are identified and their assumptions stated.

I make no false endorsement claims about the platform or the project.

These warranties do not permit the operator to repeat known false information or ignore obvious inconsistencies. AI summaries require an owner-approved version and source references before public or shared display.

8. Fees and definitions

The project owner pays the introduction fee. Our compensation depends on funding taking place, which creates a commercial interest in introductions resulting in transactions. This does not mean we advise the investor or endorse the transaction.

The owner pays 3% of capital actually funded, including debt, with a US$5,000 minimum per introduced investor group per project, cumulative across tranches. Investors pay nothing and are not liable for the owner’s fee. Payment within 15 calendar days of invoice. This is an introduction-service fee calculated by reference to funding, not transaction execution.

Introduced investor group: participants under common control in a documented introduction. Pre-existing relationship: documented relationship predating the introduction, excluded from the fee. Funding tranches: cumulative funds actually received. Debt drawdowns: amounts actually drawn, not committed limits. Evidence of funding: receipt documentation checked for invoicing. Taxes are applied as required by law.

9. Direct dealings and fee scope

The parties may communicate and transact directly following an introduction. Direct dealings do not extinguish an introduction fee properly payable under the project owner's agreement. No party may intentionally conceal qualifying funding or use an intermediary solely to evade a fee otherwise due.

A 24-month fee tail after termination applies only to documented introductions in scope; pre-existing relationships are excluded, with no claim over unrelated investors, projects or future business. Signed fee rights are not changed retrospectively.

10. Liability A–F

A. The operator does not assume project obligations.

B. The operator is not responsible merely because a party defaults, becomes insolvent, misuses funds or breaches obligations.

C. Checks are specifically described, not comprehensive due diligence.

D. Dominican Investing's total liability for any claim is limited to 50% of the fees paid to Dominican Investing in relation to the specific introduction giving rise to the claim. This limit does not apply to fraud or wilful misconduct.

E. Nothing limits liability for fraud or wilful misconduct. No blanket waivers or restrictions on lawful complaints.

F. Proportionate owner indemnity for third-party claims from unauthorised disclosures, materially inaccurate information, IP infringement or breach of warranties; excludes the operator’s own actionable conduct. Requires prompt notice, reasonable defence arrangements and consent to settlements imposing obligations on the indemnified person.

11. Filters and tools

Matches reflect your selected filters. They do not assess investment quality, suitability or likelihood of success.

Tools explain the platform, retrieve owner-approved information with sources and schedule introductions. Suitability, structure, returns, tax and negotiation questions are redirected to independent advisers.

12. Commercial minimum and laws applying to each party

USD 250,000 is a commercial minimum, not an accreditation requirement or suitability assessment.

Projects may be viewed from any country. Investors and project owners are each responsible for researching and complying with the local and international laws that apply to them, including laws on offering, solicitation, investment and tax.

13. Data and documents

Hosting: Lovable/Supabase. Identity: manual operator review; no external provider is established. AI: permitted material processing through configured tools with sources and controls. Airtable use is not established. Passports, ID and confidential documents are not sent to general-purpose AI. Each document requires version- and recipient-specific permission and access logging. Records are kept for 5 years after the relationship ends. Each party maintains its own records; Dominican Investing does not undertake record-keeping for the parties’ own obligations.

14. Versions

Each version is dated and kept. Existing documents, signatures, acceptances, consents and versions remain intact. These terms are made in English and Spanish. Both versions are equally authoritative. The operator is not an automatic signatory to investment agreements or a guarantor.
