Santo Domingo and the north: an investment guide

Santo Domingo, Santiago and Puerto Plata: economy, ports and airports, free zones, leading sectors and what to watch when investing in the capital and the north.

A practical research guide for evaluating Dominican projects and established operations. Separate official national context from the evidence required for a particular transaction. The discussion below identifies market considerations, legal frameworks and questions for professional due diligence; it does not recommend an investment.

At a glance

Indicator

Figure and year

Source

Distrito Nacional

1,029,110, 2022 preliminary census

Define the geography before comparing opportunities

Santo Domingo can mean the Distrito Nacional, the separate province of Santo Domingo or the wider urban economy. Santiago and Puerto Plata also refer to both provincial and municipal geographies. Use the same territorial definition when comparing population, workforce and customers. The population figures below are provincial counts, with Distrito Nacional separately identified, from ONE’s preliminary 2022 census infographic. They are not estimates of affluent consumers, annual visitors or the workforce available to a specific project. ONE, primeros resultados preliminares del Censo 2022, publicación sin fecha visible ONE published a broader general census report in 2024. ONE, Informe general del Censo 2022, 2024

Santo Domingo: metropolitan services and distribution

The capital-area investment thesis spans business services, distribution, industrial premises and services sold to established companies. Test each proposition against local demand and competition rather than treating the entire metropolis as one homogeneous market. The Port Authority’s 2022 list places Caucedo in Santo Domingo province and identifies Río Haina across Santo Domingo and San Cristóbal. Autoridad Portuaria, listado de puertos, 2022 These gateways matter to location selection, but travel reliability, cargo characteristics and the final delivery address can outweigh simple distance. A city-centre service business and a port-linked warehouse require different site criteria.

Santiago: operating depth in the Cibao

For Santiago, investigate manufacturing, supplier services, distribution and businesses serving the wider Cibao rather than assuming all activity is tourism-driven. Verify each target’s customers and geographic reach directly. Airport access through Cibao is a relevant site-selection consideration, but this guide does not quote passenger or cargo statistics because the retrieved operator material did not establish a usable reporting period. For industrial projects, request current utility capacity, labour recruitment evidence and trucking quotations. A strong provincial population figure is not proof that the required technical workers are available within commuting distance.

Puerto Plata: tourism and the operating hinterland

Puerto Plata combines coastal visitor-facing opportunities with a resident market and port-related activity. The official 2022 port list identifies its commercial port and distinguishes the Amber Cove and Taino Bay tourist terminals. Autoridad Portuaria, listado de puertos, 2022 Aerodom identifies Gregorio Luperón airport in the province. Aerodom, Sobre Aerodom, sin fecha, identificación de aeropuertos únicamente Cruise calls, airline passengers and overnight hotel demand are different markets. For any tourism supplier, investigate seasonality, customer concentration, contracts and payment terms. Coastal property also calls for a site-specific review of title, environmental restrictions, drainage, storm exposure and insurance availability.

Free zones and sector selection

CNZFE’s national 2024 report records 843 operating companies, 94 industrial parks and 198,552 direct jobs. CNZFE, Informe estadístico 2024, 2025 These are national totals, not counts for Santiago, Puerto Plata or Santo Domingo. They establish the scale of the regime, not demand for an individual park. The governing incentive framework is Law 8-90 of 1990. Ley 8-90 sobre zonas francas, 1990 Check the status of the specific operator and tenant, available space, expansion rights and access to suppliers. Domestic suppliers should not assume that selling to a free-zone company automatically confers all the purchaser’s exemptions.

Regional deal structures and location risks

Compare buying an operating company, leasing industrial premises and developing land before choosing a region. Each exposes capital to different permitting, construction and customer risks. Review commute patterns, truck access, drainage and utility connections at the actual site. Do not underwrite a project solely on an announced road, public facility or airport improvement. For public-private opportunities, the 2020 framework involves DGAPP and competitive procedures, not an automatic entitlement created by owning nearby property. DGAPP, Preguntas frecuentes, marco de 2020 Municipal approvals, sector licences and incentive decisions should be mapped separately for each proposed operation.

Deal structures and investment governance

Distinguish ownership of a company from ownership of its underlying assets. A minority subscription, a controlling acquisition, a secured loan and a development partnership create different rights. Describe who appoints management, approves budgets, commits additional capital and authorises related-party transactions. Agree information rights and a realistic exit process before negotiating headline valuation. A holding company does not remove liabilities at the operating level. Obtain independent legal and tax opinions on the actual structure rather than assuming another transaction provides a template.

Permits, title and incentives

Prepare an approvals matrix identifying the competent authority, applicant, outstanding conditions and evidence required before operations begin. Ask local counsel to confirm land title, encumbrances, zoning, environmental authorisation and sector licences where applicable. Separate an application from an approval, and an approval from permission to commence operations. Incentives should enter the financial model only after the adviser confirms eligibility, the relevant resolution, remaining duration and any restrictions on a change of ownership. A nearby successful project does not establish that the proposed site has the same rights.

Financial and commercial due diligence

Reconcile management accounts with bank statements, tax returns, customer invoices and material contracts. Examine receivable ageing, inventory condition, supplier dependence and maintenance spending that may have been deferred. Separate recurring trading performance from related-party income, exceptional gains and owner expenses. Obtain independent evidence of customer demand rather than relying exclusively on a sponsor forecast. Test how delayed collections, higher operating costs and a slower launch affect liquidity. Treat forecasts as scenarios, not verified facts or promises about future performance.

Currency, climate and execution risks

Match the currency of revenues with operating costs, debt service and distributions. A business can report growing sales while struggling to obtain enough cash to pay foreign-currency obligations. Examine insurance exclusions, deductibles, storm exposure, drainage and business-interruption arrangements. Have engineers review asset condition and replacement requirements. A construction budget should specify contingencies and responsibility for overruns. For existing operations, inspect backup power, water security, cybersecurity and the ability to continue serving customers after disruption. These are diligence questions, not assertions that every site has the same weaknesses.

Negotiating protections and closing conditions

Use a controlled data room and verify the identity and authority of the people supplying documents. Specify conditions precedent, representations, disclosure schedules, indemnities and any retention or escrow with counsel. Identify how unresolved tax assessments, employee claims and permit defects will be treated in the price. Review enforceability and dispute resolution rather than assuming an overseas contract automatically provides effective local remedies. Do not release acquisition funds solely against a presentation. Closing evidence should demonstrate that the agreed ownership, consents and security arrangements can actually be delivered.

Practical next steps

Define the target sector, geographic scope, desired control and capacity to fund follow-on requirements. Build a preliminary investment memorandum that separates confirmed evidence, assumptions and unresolved questions. Commission local legal, tax and technical reviews before making a binding commitment. Obtain a written plan for operations after closing, including management transition, reporting and capital expenditure. Sponsors can list a project; prospective investors can register as an investor. Introductions are not a substitute for independent verification.
